Board of Directors |
The body which is appointed by the minister of Health and has ultimate authority to determine its policies and control the activities of the Interlake Regional Health Authority. The Board of Directors is also empowered to hire and supervise the Chief Executive Officer. May also be referred to as the "Board". |

Chief Executive Officer |
The singular organizational position that is primarily responsible to carry out the strategic plans and policies as established by the Board of Directors. The Chief Executive Officer is the sole employee of the Board and reports to the Board. May also be referred to as "CEO". |

Community Health Assessment |
A process used to form a "snap-shot" of Interlake residents’ health status. The process allows for review of existing information, collecting new data, consulting with Interlake residents and health providers, and analyzing/interpreting the data to form evidence-based practice throughout the region. |

Consent Agenda |
Agenda items the Board has assigned to the Chief Executive Officer, for ongoing reporting on a periodic basis. |

Ends |
Ends include organizational products, effects, benefits, outcomes and their associated costs, and recipients (i.e. what good for which recipients at what cost). Ends policies describe the Board’s expectations about (1) the benefit, difference or client benefit results that the Interlake Regional Health Authority is to produce, (2) the persons for whom the difference is to be made, and (3) the cost or relative worth of the benefit. |

Ex-Officio |
Ex officio committee members may fully participate on a committee but have no voting privileges. The Board Chair may participate on a committee in an ex officio capacity, by virtue of his/her position on the Board. |

Fiduciary |
A person or institution who manages money or property for another and who must exercise a standard of care in such management activity, as imposed by law or contract e.g. a Board of Directors appointed by government. |

Governance |
The process of directing and controlling the policies, actions and activities of the Interlake Regional Health Authority. |
|
Means |
Means include methods, practices, situations, circumstances, or activities that cannot be defined as Ends e.g. operational methods such as services, programs, operational finances, and personnel issues. |

Monitoring |
The act of overseeing, reviewing and approving programs, finances, and activities of the Interlake Regional Health Authority, for the purpose of ensuring the attainment of Board Ends policies. |

Notice of Intent |
A letter or document highlighting a party’s intention or plans. |

Operational Plan |
The operational plan is a current fiscal year document that states the IRHA’s strategic priorities, outcomes to address the priorities and the means to accomplish the expected outcomes. This document is used by management and the Board to monitor progress. |

Public |
The public includes the members of the public of the Interlake Region. |
|
Standing Board Committees |
Committees outlined in Board policy which operate on an ongoing basis to fulfill the responsibilities referred to it by the Board of Directors. Standing Board Committees include Executive, Finance, Planning, and Governance committees. |

Terms of Reference |
Written parametres that describe a committee’s function, activities and authority. |
|
Trusteeship |
The Board of Directors acts as trustees of the Interlake Regional Health Authority, and as such, performs a trusteeship role for the region. Trusteeship includes performing a fiduciary and confidential role for the Interlake Regional Health Authority. |
